Transworld Shipping Lines has signed a memorandum of agreement to acquire two vessels, OEL Surya and OEL Varun, from Orient Express Lines Inc. for a combined consideration of $42.78 million.

In a stock exchange disclosure, the company said it received the agreement on October 24, 2026. The acquisitions will be undertaken through Transworld Sea-Connect IFSC, its wholly owned subsidiary.

The company has agreed to purchase OEL Surya for $22.03 million and OEL Varun for $20.75 million. Both vessels are being acquired from Orient Express Lines Inc., which is based in Panama.

Expanding its shipping fleet
Transworld Shipping Lines is the vessel-owning business of Transworld Group, a shipping and integrated logistics group established in 1977. The company provides container shipping services, particularly for domestic coastal cargo movements in India, and also supplies vessels for charter to other operators. Its broader group operations span ocean and air freight, freight forwarding, warehousing and distribution, and multimodal transportation.

The acquisition of OEL Surya and OEL Varun adds to the company's vessel portfolio. However, the latest disclosure does not specify whether the ships will be deployed on domestic coastal routes, international services or charter operations.

Transaction details
Transworld Sea-Connect IFSC will act as the buyer, while Orient Express Lines will be the seller. The disclosure states that the two entities are under common ultimate ownership or control, making the purchases related-party transactions.

The company said both transactions would be conducted on an arm's-length basis, meaning the terms are intended to be comparable to those that would apply between independent parties.

The disclosure did not provide details on the vessels' capacity, age, expected delivery dates or planned operational deployment.

The agreements were disclosed to the stock exchanges in accordance with applicable Securities and Exchange Board of India (SEBI) requirements.
