Fleetx.ai has acquired transportation management system (TMS) provider Pando.ai for an undisclosed amount, expanding its capabilities across fleet visibility and freight execution.

The acquisition will bring the two companies’ technologies together to create a unified, AI-native platform for physical operations, with AI agents designed to support functions ranging from fleet monitoring to freight planning and execution.

Pando.ai, which serves several large Indian enterprises across sectors, will continue to operate as a distinct brand with its own product and company identity. Fleetx.ai plans to integrate its AI capabilities with Pando.ai’s TMS platform and take the combined offering to market.

Fleetx.ai has evolved over the past nine years from a fleet visibility platform into an AI-driven technology provider serving sectors including logistics, construction, energy, retail and manufacturing. Its customers include UltraTech, Adani, AM/NS India, MP Birla Group, Maersk, Unilever and Mondelez.

With the acquisition, Fleetx.ai aims to move beyond monitoring and visibility towards a more integrated platform that uses AI to analyse, plan, and execute logistics and other physical operations.

Vineet Sharma, Co-Founder & CEO, Fleetx.ai, said, “Bringing Pando.ai into the Fleetx.ai fold creates a unified, end-to-end stack for fleet and logistics, powered by AI agents. To Pando.ai's existing and future customers, this means a continued and even stronger experience, backed by high-quality products and world-class support. We're equally excited to work closely with Pando.ai's leadership team and build on the deep expertise they bring.”

Badrinath Setlur, Chief Executive Officer, Pando.ai, said, “Our customers have always trusted us to keep their supply chains moving. That trust doesn't change with this acquisition - it only gets stronger. Joining forces with Fleetx.ai means we can invest even faster in the AI capabilities our customers are asking for, while our team and our product continue to operate exactly as they have. This is a natural next step for Pando.ai, and I'm excited about what we can build together.”

With the acquisition, the combined entity will begin preparing for a potential public listing over the next 18–24 months. The company is targeting combined revenue of ₹3-4 billion while maintaining profitability by the time of the proposed IPO.

The move comes as India's fleet and logistics sector undergoes increased technology adoption, driven by rising trucking volumes, e-commerce and industrial growth, as well as growing requirements for GPS-based tracking and safety compliance.

Fleetx.ai is positioning AI agents as a key part of this transformation, with the technology designed to identify shipment delays, reroute drivers and optimise freight allocations with minimal human intervention. The company plans to embed these AI capabilities across its product suite as it expands its presence in India's logistics technology market.

Founded in 2017 and headquartered in Gurugram, Fleetx.ai is an AI-native fleet and logistics optimisation platform focused on modernising physical operations. The company serves more than 2,000 mid-market and enterprise customers across India, including UltraTech, Adani, Maersk, Unilever, Shree Cement, MP Birla Group, NDDB, DP World and Mondelez.

Pando.ai is an AI-native transportation management and logistics automation provider that helps manufacturers, distributors and retailers plan, manage and optimise freight operations while reducing costs and carbon emissions.
