Allcargo Logistics, a integrated logistics solutions provider, has completed the demerger of its International Supply Chain (ISC) business into a new listed entity named Allcargo Global, effective November 1, 2025. The company announced that the Composite Scheme of Arrangement, which also includes the merger of its Domestic Supply Chain business, received approval from the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, through an order dated October 10, 2025.

Under this strategic restructuring, Allcargo Logistics has separated its global operations into Allcargo Global, while its domestic express distribution and consultative logistics businesses will now be consolidated under Allcargo Logistics. The move aims to strengthen operational synergy and create long-term value for stakeholders across India’s logistics sector.

The company’s Board of Directors has approved November 12 as the Record Date for the transaction. From this date, shares of Allcargo Logistics will trade ex-international business. Following the merger, the domestic express business, currently managed by Allcargo Gati and GESCPL, and the consultative logistics business under ASCPL will come together under Allcargo Logistics.

Shareholders of Allcargo Logistics will receive one share each in both Allcargo Logistics and the demerged Allcargo Global on a 1:1 basis. Additionally, shareholders of Allcargo Gati Limited will receive 63 shares of Allcargo Logistics (post demerger of the international business) for every 10 shares held in Allcargo Gati.

The listing of Allcargo Global will follow the completion of required approvals and regulatory formalities. This restructuring marks an important step for Allcargo Logistics as it enhances its focus on both global and domestic growth opportunities within India’s expanding logistics landscape.
