Adani Defence, Prime Aero to acquire Indamer Technics in MRO expansion

The acquisition aims to expand the partners’ MRO network in India and will include ITPL’s facility in Nagpur, Maharashtra.

Adani Defence Systems and Technologies Limited (ADSTL), in partnership with Prime Aero Services LLP, has signed a definitive agreement to acquire a 100% stake in Indamer Technics Private Limited (ITPL).

The deal will be executed through Horizon Aero Solutions Limited, a 50-50 joint venture between ADSTL and Prime Aero. The acquisition aims to expand the partners’ Maintenance, Repair and Overhaul (MRO) network in India and will include ITPL’s facility in Nagpur, Maharashtra.

ITPL’s Nagpur facility, located in the MIHAN Special Economic Zone, spans 30 acres and includes 15 aircraft bays across 10 hangars. It is approved by the Directorate General of Civil Aviation (DGCA), the US Federal Aviation Administration (FAA), and other global civil aviation regulators. The company provides services such as lease return checks, heavy C-checks, structural repairs, and aircraft painting to domestic and international customers.

Ashish Rajvanshi, CEO, Adani Defence & Aerospace, said the deal “further strengthens our capabilities and footprint in the MRO segment and reinforces our position as the largest private-sector MRO player in the country.” He added that the Nagpur location would enhance the company’s pan-India footprint and create synergies with Air Works, another MRO business acquired earlier.

Prajay Patel, Director of Indamer Technics and Prime Aero, said the partnership combines “deep-rooted engineering excellence with robust infrastructure and growth capital” to build a world-class MRO ecosystem from India.
